Through JLPT Practice, Saora makes available to you a wide range of information, software, products, downloads, documents, communications, files, text, graphics, publications, content, tools, forums, resources, and services, under the following Terms and Conditions of Use.

IMPORTANT NOTICE – PLEASE READ BEFORE USE

PLEASE READ THE TERMS OF USE CAREFULLY BEFORE USING JLPT Practice. By accessing and using JLPT Practice in any way, including, without limitation, browsing the website, using any information, using any content, using any service, downloading any materials, any software and/or placing an order for products or services, you acknowledge that you have read, understood, and agree to be bound, by the terms and conditions of use described herein ("Terms of Use"), including any future modifications. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THE TERMS OF USE, DO NOT USE JLPT PRACTICE IN ANY MANNER. The Terms of Use are entered into by and between Saora and you. If you are using JLPT Practice on behalf of your employer, you represent that you are authorized to accept these Terms of Use on your employer's behalf.

Saora reserves the right, at Saora's sole discretion, to change, modify, update, add, or remove portions of the Terms of Use at any time without notice to you. Please check these Terms of Use for changes. Your continued use of JLPT Practice following the posting of changes to the Terms of Use will mean you accept those changes.

ACCESS TO JLPT Practice

Subject to this Terms of Use, JLPT Practice is offered by Saora solely for your own use, and not for the use or benefit of any third party. Saora may change, suspend or discontinue JLPT Practice at any time, including the availability of any feature, database, or content. Saora may also impose limits on certain features and services or restrict your access to parts or all of JLPT Practice without notice or liability. By using JLPT Practice you agree to be served relevant, location-specific special offers. Users will be permitted to opt-out of these special offers.

You certify that you are legally permitted to access and use JLPT Practice. This Terms of Use Agreement is void where prohibited by law, and the right to use JLPT Practice is revoked in such jurisdictions. Saora makes no claim that JLPT Practice may be lawfully viewed or that content may be downloaded outside of JAPAN. Access to content on JLPT Practice may not be legal by certain persons or in certain countries. If you access JLPT Practice from outside of JAPAN, you do so at your own risk and you are responsible for compliance with the laws of your jurisdiction.

Saora will make reasonable efforts to ensure that JLPT Practice is available twenty-four hours a day, seven days a week. However, there will be occasions when JLPT Practice will be interrupted for maintenance, upgrades and emergency repairs or due to failure of telecommunications links and equipment. Every reasonable step will be taken by Saora, to minimize such disruption where it is within Saora’s reasonable control. You agree that Saora will not be liable in any event to you or any other party for any suspension, modification, discontinuance or lack of availability of JLPT Practice.

You shall be responsible for obtaining and maintaining any equipment or ancillary services needed to connect to use JLPT Practice including, without limitation, modems, hardware, software, and long distance or local telephone service.

OWNERSHIP OF MATERIALS

All material contained in JLPT Practice, other than that posted by you, is the copyrighted property of Saora, or other third parties and is protected by Japanese and other International Copyright and Intellectual Property Laws, as applicable. All trademarks, service marks, and trade names are proprietary to Saora, or third-parties wherever mentioned. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from JLPT Practice, in whole or in part, without the written permission from Saora.

END USER LICENSE

Saora grants you a non-exclusive, non-transferable license to install and use a copy of the JLPT Practice Software in object code form only, solely for your personal, noncommercial use in connection with JLPT Practice. Any software that updates, supplements or replaces the original JLPT Practice Software is governed by this Terms of Use Agreement unless separate license terms accompany such update, supplement or replacement, in which case such separate terms will govern in the event of a conflict with this Terms of Use Agreement or as otherwise provided in such separate terms.

The preceding states the entirety of your rights with respect to the JLPT Practice Software, and Saora reserves all rights not expressly granted to you in this Terms of Use Agreement. Without limiting the foregoing, you will not do, or authorize or permit any third party to do, any of the following: (a) license or sell the JLPT Practice Software; (b) distribute the JLPT Practice Software except as expressly authorized by Saora; (b) use the Software for any purpose other than your personal, noncommercial use; (c) reverse engineer, decompile, disassemble or attempt to discover the source code for the JLPT Practice Software; (d) modify, alter or create any derivative works of the JLPT Practice Software; or (e) remove, alter or obscure any copyright, trademark or other proprietary rights notice on or in the JLPT Practice Software.

PERSONAL INFORMATION COLLECTION AND PROTECTION

If any of the web page requires you to give personal information, you must complete the registration process by providing us with current, complete and accurate information as prompted by the applicable registration form. See the Privacy Statement disclosures relating to the collection and use of your information.

UNSOLICATED IDEA SUBMISSION POLICY AND FEEDBACK

Saora or any of its employees do not accept or consider unsolicited ideas, including ideas for new marketing activity, new or improved products or technologies,product enhancements, processes, materials, marketing plans or new product names. Please do not send any original creative artwork, suggestions or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when Saora's products or marketing strategies might seem similar to ideas submitted to Saora. So, please do not send your unsolicited ideas to Saora or anyone at Saora. If, despite our request that you not send us your ideas, you still send them, then regardless of what your letter says, the following terms shall apply to your idea submission.

Terms of Idea Submission

You agree that: (1) your ideas will automatically become the property of Saora, without compensation to you, and (2) Saora can use the ideas for any purpose and in any way, even give them to others.

Product Feedback

Saora does, however, welcome your feedback regarding many areas of Saora's existing business. If you want to send us your feedback, and we hope you do, we simply request that you send it to feedback@ saora. co.jp, or you can choose from the many other listed areas for your feedback. Please provide only specific feedback on Saora's existing products or marketing strategies; do not include any ideas that Saora's policy will not permit it to accept or consider. It's just one more way that Saora can learn how to best satisfy your needs.

DISCLAMIERS, LIMITATION OF WARRANTY AND LIABILITY

EXCEPT AS EXPRESSLY PROVIDED OTHERWISE, ALL INFORMATION, SOFTWARE, DOCUMENTATION, MATERIALS, SERVICES AND PUBLICATION ARE PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND AND SAORA HEREBY DISCLAIMS ALL WARRANTIES EITHER EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN ADDITION, EXCEPT AS EXPRESSLY PROVIDED OTHERWISE, SAORA DISCLAIMS ANY WARRANTIES OF NON-INFRINGEMENT, TITLE, OR QUIET ENJOYMENT. FOR YOUR CONVENIENCE, SAORA MAY MAKE AVAILABLE AS PART OF THE SERVICES OR IN ITS SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR USE AND/OR DOWNLOAD. SAORA DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND UTILITIES.

JLPT PRACTICE CONTAINS LINKS TO THIRD-PARTY SITES WHICH ARE NOT UNDER THE CONTROL OF SAORA AND SAORA IS NOT RESPONSIBLE FOR THE CONTENTS ON ANY LINKED SITE OR ANY LINK CONTAINED IN A LINKED SITE.SAORA IS PROVIDING THESE LINKS TO YOU ONLY AS A CONVENIENCE, AND THE INCLUSION OF ANY LINK DOES NOT IMPLY THAT MACROMEDIA ENDORSES OR ACCEPTS ANY RESPONSIBILITY FOR THE CONTENT ON SUCH THIRD-PARTY SITES.

SEVERABILITY

In the event that any provision of this Agreement is declared or found to be illegal by any court or tribunal of competent jurisdiction, such provision shall be null and void with respect to the jurisdiction of that court or tribunal and all the remaining provisions of this Agreement shall remain in full force and effect.

GOVERNING LAW JURISDICTION

This agreement, and the rights and obligations of the parties shall be governed by and construed in accordance with the Laws of Japan. Any action with respect to the Agreement filed by one party against the other may only be brought in Yokohama, Japan.
